This Indenture, dated as of August 30, 2006, is between GMACM Home Equity Loan Trust 2006-HE3, a Delaware statutory trust, as issuer (the "Issuer"), and JPMorgan Chase Bank, National Association, as indenture trustee (the "Indenture Trustee").
