This Common Stock and Warrant Purchase Agreement (this “Agreement”) is made as of October 5, 2006 by and between PHOTOWORKS, INC., a Washington corporation with its principal office at 71 Columbia Street, Suite 200, Seattle, Washington 98104 (the “Company”), those purchasers listed on the attached Exhibit A, as such exhibit may be amended from time to time (each a “Purchaser”, and collectively, the “Purchasers”), and the investors (the “August 2006 Bridge Investors”) under that certain Investor Rights Agreement dated August 22, 2006 among the Company and the investors set forth therein (the “August 2006 Investor Rights Agreement”).
