This Asset and Securities Purchase Agreement (this “Agreement”), dated as of May 16, 2016, is entered into by and among China Branding Group Limited, an exempted company organized under the laws of the Cayman Islands (“Seller”), the entities set forth on Schedule I attached hereto (each, a “Target Entity” and together, the “Target Entities”), KanKan Limited, a company organized under the laws of the British Virgin Islands (the “Buyer”), and Remark Media, Inc., a Delaware corporation (the “Parent”).
