This Consulting Agreement ("Agreement"), effective as of 8:00 am on May 18, 2016 ("Effective Date"), is made by and between Emergent BioSolutions Inc. ("Emergent"), having its principal office at 400 Professional Drive, Suite 400, Gaithersburg, Maryland 20879, and John E. Niederhuber, M.D. ("Consultant"), having his principal office at **** ********** *****, *******, ** *****.
