This FOURTH AMENDMENT TO AMENDED AND RESTATED STRATEGIC ALLIANCE AGREEMENT (NICOTINIC ALPHA-7 PROGRAM) (this “Amendment”) is effective as of the 15th day of July, 2008, by and among Memory Pharmaceuticals Corp. (“Memory”), and F. Hoffmann-La Roche Ltd and Hoffmann-La Roche Inc. (together, “Roche”).

This letter reflects the change in your position with Memory Pharmaceuticals Corp. (the “Company”), effective February 7, 2008 (the “Effective Date”) and shall be effective as of the Effective Date. This agreement (other than Section 5 (“Indemnification”) and 6 (“Confidentiality”) shall expire on December 31, 2009, unless extended by mutual agreement between you and the Company or terminated earlier, pursuant to section 2, below, provided that the Company shall be obligated to make any payment required under Section 3(c) after this agreement expires if such obligation arises on account of a separation from service that occurs before the agreement expires.
