This Letter Agreement and Attached Exhibit A (“Agreement”) sets forth the terms and conditions of your retirement from Medtronic effective April 27, 2012 (or earlier in accordance with this Agreement). This Agreement also sets forth the terms and treatment of certain of your benefits acquired during your employment.
