THIS AGREEMENT (the “Agreement”) is hereby entered into as of the 7th day of May, 2009 and is effective as of June 1, 2009 (the “Effective Date”), by and between Endo Pharmaceuticals Holdings Inc. (the “Company”) and Alan G. Levin (the “Executive”) (hereinafter collectively referred to as “the parties”).

This Indemnification Agreement (this “Agreement”) is made as of ________ __, 2009 by and between Endo Pharmaceuticals Holdings Inc., a Delaware corporation (the “Company”), and ______________ (“Indemnitee”). This Agreement supersedes and replaces any and all previous agreements between the Company and Indemnitee covering the subject matter of this Agreement.
