THIS REGISTRATION RIGHTS AGREEMENT (the "Agreement") is made and entered into as of April 12, 2006, by and among VIACOM INC., a Delaware corporation (the "Company") and BANC OF AMERICA SECURITIES LLC, CITIGROUP GLOBAL MARKETS INC. and J.P. MORGAN SECURITIES INC., in their respective capacities as initial purchasers and as representatives of each of the other initial purchasers named in Schedule A hereto (collectively, the "Initial Purchasers").
