THIS GUARANTY dated as of October 13, 2010, executed and delivered by each of the undersigned and the other Persons from time to time party hereto (all of the undersigned, together with such other Persons each a “Guarantor” and collectively, the “Guarantors”) in favor of (a) JPMORGAN CHASE BANK, N.A., in its capacity as Administrative Agent (the “Agent”) for the Lenders under that certain Credit Agreement dated as of October 13, 2010 (as amended, restated, supplemented or otherwise modified from time to time, the “Credit Agreement”), by and among HEALTHCARE TRUST OF AMERICA HOLDINGS, LP, a Delaware limited partnership (the “Borrower”), HEALTHCARE TRUST OF AMERICA, INC. (the “Company”), the financial institutions party thereto and their respective assignees (the “Lenders”), the Agent, and the other parties thereto, and (b) the Lenders, the Issuing Bank and the Swingline Lender (the parties described in (a) and (b) are hereinafter referred to collectively as the “Credit Parties”).
