This Agreement (this “Agreement”) is made and entered into as of the 18th day of February, 2009 by and among APAC Customer Services, Inc., an Illinois corporation (the “Company”), on the one hand, and each of Cindy K. Andreotti, John C. Kraft, Bhaskar Menon, John J. Park, Samuel K. Skinner and John L. Workman (collectively, the “Indemnitees”), on the other hand.
