THIS CREDIT AGREEMENT (this “Agreement”) dated as of July 28, 2006 by and among THE ST. JOE COMPANY, a corporation formed under the laws of the State of Florida (the “Borrower”), BANC OF AMERICA SECURITIES LLC as Arranger, Book Manager and Syndication Agent (the “Syndication Agent”), BANK OF AMERICA, N.A. as Agent (the “Agent”), and each of the financial institutions initially a signatory hereto together with their assignees pursuant to Section 12.5.
