THIS PURCHASE AGREEMENT, dated as of March 15, 2005 (this “Purchase Agreement”), is entered into among Great Wolf Resorts, Inc., a Delaware corporation (the “Company”), and Great Wolf Capital Trust I, a Delaware statutory trust (the “Trust”, and together with the Company, the “Sellers”), and TABERNA Preferred Funding I, Ltd. or its assignee (“Taberna”) and Merrill Lynch International (“MLI” and, collectively with Taberna, the “Purchaser”).
