AGREEMENT made this 1st day of April, 2016, by and between Fidelity Oxford Street Trust II, a Massachusetts business trust which may issue one or more series of shares of beneficial interest (Approval hereinafter called the ”Fund”), on behalf of Fidelity Commodity Strategy Central Fund (hereinafter called the ”Portfolio”), and Geode Capital Management, LLC, a Delaware limited liability company (hereinafter called the ”Adviser”), as set forth in its entirety below.
