THIS SECOND AMENDED AND RESTATED LICENSE AGREEMENT (the “Agreement”) is entered into as of July 1, 2015 (“Amendment Date”) by and among UCL BUSINESS PLC, a public limited company incorporated under the laws of England and Wales with company registration number 02776963 and with its registered office at The Network Building, 97 Tottenham Court Road, London W1T 4TP (“UCL”), and OCERA THERAPEUTICS, INC., a corporation organized and existing under the laws of the State of Delaware, with principal offices located at 525 University Ave, Suite 610, Palo Alto, California 94301 (“Ocera”).
