This Share Purchase Agreement (this “Agreement”) is dated as of March 14, 2014, 2013, by and amongst Ralph Simpson, an individual residing at 6408 Regiment Place, Colleyville, TX 76034 (“Shareholder”) and Bennie D. Manion, an individual residing at 3339 Brackhill, Davidson, NC 28036 (“Purchaser”). The Shareholder and the Purchaser is referred to herein as a “Party” and collectively, as the “Parties.”
