Each of Hines Real Estate Investment Trust, Inc. a Maryland corporation (the “Company”), Hines Real Estate Securities, Inc. a corporation (the ”Dealer Manager”), and Hines Advisors Limited Partnership, a limited partnership (the ”Advisor”), hereby confirms its agreement with Ameriprise Financial Services, Inc., a Delaware corporation (“Ameriprise”), as follows:
