This INDENTURE, dated as of January 18, 2005, is entered into between TGT Pipeline, LLC, a Delaware limited liability company (the “Issuer”) and The Bank of New York, a New York banking corporation, as Trustee (the “Trustee”).

This Agreement is made pursuant to the Purchase Agreement, dated January 12, 2005 (the “Purchase Agreement”), by and among the Issuer and the Initial Purchasers, which provides for the sale by the Issuer to the Initial Purchasers of $300,000,000 in aggregate principal amount of its 5.50% Notes due 2017 (the “Notes”). In order to induce the Initial Purchasers to purchase the Notes, the Issuer has agreed to provide the registration rights set forth in this Agreement. The execution and delivery of this Agreement is a condition to the obligations of the Initial Purchasers set forth in Section 5(e) of the Purchase Agreement.
