This SHARE EXCHANGE AGREEMENT (this "Agreement") is entered into as of June 24, 2010, by and among WESTERN RIDGE MINERALS, INC., a Nevada corporation ("Purchaser"), SUNVALLEY SOLAR, INC., a California corporation, ("Sunvalley") and, Zhijian (James) Zhang, Hangbo (Henry) Yu, Haibo Yu, Thomas L. Louie, Anyork Lee and Shirley Liao (each individually, a “Major Stockholder” and collectively, the “Major Stockholders”).
