Pursuant to the discussions we have had over the past several weeks, this letter will confirm the agreement we have reached and set forth the material terms and conditions of an Exploration and Development Agreement among Placer Dome U.S. Inc. ("PDUS") a California corporation, White Knight Resources Ltd. ("WKRL") a British Columbia corporation, White Knight Gold (U.S.), Inc. ("WKGI"), a Delaware corporation, and CUN Minerals, Inc., a Nevada corporation ("CUN;" WKGI, WKRL, and CUN will be collectively referred to hereafter as "White Knight"), as well as Chapleau Resources Ltd. ("CRL"), a British Columbia corporation, and Chapleau Resources (USA) Ltd., an Alaska corporation ("CUSA;" CRL and CUSA will be collectively referred to hereinafter as "Chapleau"), covering the Indian Ranch Property located in Eureka County, Nevada (the "Property"), as more particularly described in Exhibit A-1 attached hereto and incorporated herein by reference.
