Keith Goldstein (“Employee”) and VerifyMe, Inc., a Nevada corporation (the “Company”) make this Separation Agreement and Release of All Claims (this “Agreement”) for Employee’s mutual and orderly separation from employment with the Company. Employee and the Company will be referred to herein collectively as the “Parties.”

This Restricted Stock Unit Award Agreement (this “Award Agreement”) is made and entered into as of July 31, 2023 (the “Date of Grant”), by and between VerifyMe, Inc. (the “Company”) and Margaret Gezerlis (the “Participant”). Capitalized terms not defined in this Award Agreement shall have the respective meanings given such terms by the VerifyMe, Inc. 2020 Equity Incentive Plan (the “Plan”).
