THIS EMPLOYMENT AGREEMENT ("Agreement") is entered into as of April 19, 2010 (the "Effective Date"), by and between CDEX, Inc., a Nevada corporation (the "Company" or “CDEX”), and Donald W. Strickland (the "Employee"). Employee and Company are sometimes referred to as a Party" or collectively as the "Parties". The undersigned covenant and agree as follows:
