The Company has entered into that certain Agreement and Plan of Merger (the “Merger Agreement”), dated as of September 12, 2025, by and among MBody AI Corp, a Nevada Corporation (“MBody AI”), CC Merger Sub, Inc., a Nevada corporation and a wholly owned subsidiary of the Company (“Merger Sub”), and the Company, pursuant to which Merger Sub will merge with and into MBody AI, with MBody AI surviving as a wholly-owned subsidiary of the Company.
