This Stock Exchange Agreement (this “Agreement”) is made and entered into as of 7/3/2026 (the “Effective Date”), by and among Olenox Industries Inc., a Delaware corporation (the “Buyer” or “OLOX”), Dr. Ford Burles, PhD, an individual (“Burles”), Dr. Michael McLaren-Gradinaru, PhD, an individual (“McLaren-Gradinaru”, and collectively with Burles, the “Sellers”, with each of Burles and McLaren-Gradinaru individually, a “Seller”), and Psylinks Neurotech Corp., an Alberta corporation (the “Company”). The Buyer, Sellers, and the Company may hereinafter be individually designated as a “Party” and may be collectively designated as the “Parties”.
