This Share Purchase Agreement (this “Agreement”), dated as of April 2, 2026, is entered into among Xiaomin Chen, a Chinese Citizen (the “Seller”), Acellent Technologies (Hong Kong) Co. Limited, a company formed under the laws of Hong Kong (the “Target”), and Advanced Biomed Inc., a company formed under the laws of the State of Nevada (the “Buyer”). Capitalized terms used in this Agreement have the meanings given to such terms herein.
