THIS AMENDED AND RESTATED AGREEMENT (the “Agreement”)is made and entered into as of March 6, 2024 (the “Effective Date”), by and between MUZINICH BDC, INC., a Delaware Corporation (the “BDC”), MUZINICH BDC HOLDINGS, LLC a Delaware limited liability company (the “Subsidiary”) (collectively, the “Fund”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America with its principal place of business at Minneapolis, Minnesota (the “Custodian”).

THIS THIRD AMENDMENT TO THE FUND ADMINISTRATION SERVICING AGREEMENT (this “Amendment”) is made and entered into as of March 6, 2024 (the “Effective Date”), by and among MUZINICH BDC, INC., a Delaware corporation (the “BDC”), MUZINICH BDC HOLDINGS, LLC a Delaware limited liability company (the “SPV”), (the BDC and SPV collectively, the “Fund”), and U.S. Bancorp Fund Services, LLC (d/b/a u.s. bank global fund services), a Wisconsin limited liability company (“Fund Services”).
