This Amended and Restated Equity Purchase Agreement (this “Agreement”), dated as of November 10, 2023, is entered into between Beijing Hehe Property Management Co., Ltd., a company established under the rules of the People’s Republic of China (“Seller”), Shanghai Highlight Entertainment Co., Ltd., a company established under the rules of the People’s Republic of China (“Buyer”), and GD Culture Group Limited (“GDC”) to amend and place the Equity Purcahse Agreement dated October 27, 2023 (the “Original Agreement”) by and among Seller, Buyer and GDC. Capitalized terms used in this Agreement have the meanings given to such terms herein.
