INTERCREDITOR AGREEMENT (this “Agreement”) dated as of this 27th day of August, 2021, by and among Legacy Tech Partners, LLC, a Delaware limited liability company (“LTP”), GLD Legacy Holdings, LLC, a Delaware limited liability company (“GLD”) (LTP and GLD are collectively referred to as the “Lenders”, and each individually a “Lender”), and Legacy Education Alliance, Inc., a Nevada corporation having its principle place of business at 1490 N.E.
