THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made as of December __, 2020 by and among BOQI International Medical Inc., a company organized under the laws of the state of Delaware (“Buyer”), CHONGQING GUOYITANG Hospital Co., Ltd., a company organized under the laws of the PRC (the “Company”) and the selling shareholders listed on Schedule 1 hereto (the “Sellers” and, collectively with the Company, the “Seller Parties”).
