This Share Purchase Agreement (this “Agreement”) is entered into as of October 14, 2019 (“Effective Date”), by and among Bat Group, Inc., a limited liability company organized under the laws of Delaware (“Buyer”), Hangzhou Yihe Network Technology Co., Ltd. (the “Company”), and Zhuji Xingmai Network Technology Co., Ltd. (the “Seller”) Buyer, the Company and Seller is sometimes referred to herein individually as a “Party” and collectively as the “Parties”.
