This INDEPENDENT DIRECTOR AGREEMENT (the “Agreement”) is made and entered into as of this 5th day of June, 2010, effective as of June 5, 2010 (the “Effective Date”), by and between China BCT Pharmacy Group, Inc., a Delaware corporation whose shares are publicly traded (the “Company”), and Simon Choi a citizen of Hong Kong SAR, with the following address: Room 2615, Hin Hing House, Hing Keng Estate, Shatin, Hong Kong (the “Independent Director”).
