This Selected Dealer Agreement (“Agreement”) is entered into as of September 18, 2008, by and between UBS Global Asset Management (US) Inc. (“We” or “Us”) and UBS Financial Services, Inc. (You”). We are the principal underwriter of the shares of beneficial interest (“Shares”) of the investment companies listed on Schedule A hereto (“Funds”), each of which is registered under the Investment Company Act of 1940, as amended, (“1940 Act”) or is a series of a registered investment company. We understand that you wish to act as a Selected Dealer with respect to the Shares. You have represented that you are either a broker-dealer registered with the Securities and Exchange Commission (“SEC”) under the Securities Exchange Act of 1934, as amended, (“1934 Act”) and a member in good standing of the Financial Industry Regulatory Authority, Inc. UBS Global Asset Management (US) Inc. (the "Firm"), as principal underwriter to UBS Money Series and its series listed in Exhibit A appended hereto (the "Funds"), and the counterparty named below (the "Financial Intermediary") wish to enter into an amended and restated agreement ("Agreement") pursuant to which the Financial Intermediary will provide services to certain shareholders of, and administer certain shareholder accounts in, shares of the Funds ("Shares").
