This Amendment No. 1 (the “Amendment”) to the Amended and Restated Mutual Fund Services Agreement is made and effective as of July 18, 2011 by and between Optimum Fund Trust (the “Investment Company”) on behalf of the series (individually referred to herein as a “Fund” and, collectively, as the “Funds”) of the Investment Company and Delaware Service Company, Inc.
