THIS AGREEMENT is made and entered into effective the 1st day of May, 2007, by and among GARTMORE VARIABLE INSURANCE TRUST, a Delaware statutory trust (the “Trust”), GARTMORE MUTUAL FUND CAPITAL TRUST (the “Adviser”) a Delaware statutory trust registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and NORTHPOINTE CAPITAL, LLC, a limited liability company under the laws of the State of Oregon (the “Subadviser”), and also registered under the Advisers Act.
