This RESTRUCTURING SUPPORT AGREEMENT (as amended, supplemented, or otherwise modified from time to time in accordance with the terms hereof, together with all exhibits attached hereto and incorporated herein, this “Agreement”) is made and entered into as of November 17, 2017, by and among (i) Rand Logistics, Inc. (“Rand”), a company incorporated in the State of Delaware, and each of its direct and indirect subsidiaries (collectively with Rand, the “Company” or the “Debtors”); and (ii) Lightship Capital LLC (“Lightship”), as the lender under that certain Term Loan Credit Agreement, dated March 11, 2014 (as amended, restated, supplemented or otherwise modified from time to time, the “Second Lien Credit Agreement”) between and among Lower Lakes Towing Ltd., Lower Lakes Transportation Company, Grand River Navigation Company, Inc. and Black Creek Shipping Company (each as borrower), Rand LL Holdings Corp., Rand, Rand Finance and Lower Lakes Ship Repair Company Ltd.
