AMENDED AND RESTATED DEPOSIT AGREEMENT, dated as of February 6, 2015 (this "Deposit Agreement"), among ASTRAZENECA PLC (the "Company") and its successors, CITIBANK, N.A., as successor depositary hereunder (the "Depositary"), and all Holders and Beneficial Owners from time to time of American Depositary Receipts ("ADRs") issued hereunder evidencing American Depositary Shares ("ADSs") representing deposited Shares (as defined below).
