AMENDMENT NO. 2 , dated as of December , 2014 (the “Amendment”), to the Amended and Restated Deposit Agreement dated as of April 7, 2003, as amended as of July 1, 2004 (as previously amended, the “Deposit Agreement”), among INFOSYS LIMITED, a company organized under the laws of the Republic of India and its successors (hereinafter referred to as the “Company”), DEUTSCHE BANK TRUST COMPANY AMERICAS, a corporation duly incorporated and existing under the laws of the State of New York, United States of America (hereinafter referred to as the “Depositary”), and all Registered Holders and Beneficial Owners from time to time of American Depositary Receipts (“Receipts”) issued thereunder.
