This agreement (the “Agreement”) between Marcon International Inc., in its capacity as court-appointed seller of the Purchased Assets (defined below) (hereinafter called the “Broker”) and Rand Logistics, Inc. or a designated subsidiary (hereinafter called the “Purchaser”) provides for the purchase and sale of the Purchased Assets (as defined below).
