This Research Collaboration and License Agreement (this “Agreement”), effective as of February 3, 2026 (the “Effective Date”), is entered into by and between Takeda Pharmaceuticals U.S.A., Inc., a corporation organized under the laws of the State of Delaware (“Takeda”), and Iambic Therapeutics, Inc., a Delaware corporation having a place of business at 5627 Oberlin Drive, Suite 120, San Diego, California, 92121 (“Iambic”). Takeda and Iambic are referred to individually as a “Party” and collectively as the “Parties.”

This COLLABORATION AND OPTION AGREEMENT (the “Agreement”) is entered into as of September 23, 2024 (the “Effective Date”) between Iambic Therapeutics, Inc., a Delaware corporation, having its principal place of business at 5627 Oberlin Drive, Suite 120, San Diego, California 92121 (“Iambic”) and H. Lundbeck A/S, a Danish corporation, having its principal place of business at Ottiliavej 9, 2500 Valby, Denmark (“Lundbeck”). Lundbeck and Iambic each may be referred to herein individually as a “Party” or collectively as the “Parties.” All attached appendices, exhibits and schedules are a part of this Agreement.
