THIS SECOND AMENDED AND RESTATED TERM LOAN AGREEMENT is dated as of August 7, 2026 (as the same may be amended, restated, supplemented or otherwise modified from time to time, this “Agreement”) by and among each of the Persons signatory hereto and named on Annex A hereto (each a “Propco Borrower”, and collectively, the “Propco Borrowers”), each Person signatory hereto and named on Annex B hereto (each an “Opco Borrower”, and collectively, the “Opco Borrowers”, and together with the Propco Borrowers, each, a “Borrower” and, collectively, the “Borrowers”) as borrowers, the lenders from time to time party hereto (each, a “Lender” and collectively the “Lenders”) and ALLY BANK, a Utah state chartered bank (“Ally Bank”), in its capacity as Administrative Agent for Lenders (together with its successors and assigns, the “Administrative Agent”).
