This AMENDED AND RESTATED SALE AND CONTRIBUTION AGREEMENT, dated as of March 31, 2024 (this “Agreement”) and effective as of September 28, 2023, is by and among PTx Trimble LLC, (f/k/a Trimble Solutions, LLC), a Delaware limited liability company (the “Company”), Trimble Inc., a Delaware corporation (“Trimble”), and AGCO Corporation, a Delaware corporation (“AGCO”) (each of the Company, Trimble and AGCO, a “Party”, and collectively, the “Parties”).
