TERM LOAN AGREEMENT (as from time to time amended, supplemented or otherwise modified, this “Agreement”), dated as of February 14, 2024, is by and among NATIONAL FUEL GAS COMPANY, a New Jersey corporation (the “Borrower”), the LENDERS party hereto, and JPMORGAN CHASE BANK, N.A., as administrative agent for the Lenders (in such capacity, and together with its branches and affiliates, the “Administrative Agent”).
