The selling stockholder named in Schedule 2 hereto (the “Selling Stockholder”) of LegalZoom.com, Inc., a Delaware corporation (the “Company”), proposes to sell to the Underwriters named in Schedule 1 hereto (the “Underwriters”, which term shall also include any underwriter substituted as hereafter provided in Section 12 hereof, and, to the extent there is only a single underwriter, the term “Underwriters” shall be deemed to refer to the single Underwriter, mutatis mutandis) an aggregate of 15,099,993 shares of common stock, par value $0.001 per share, of the Company (the “Shares”). The shares of common stock of the Company to be outstanding after giving effect to the sale of the Shares are referred to herein as the “Stock”.
