THIS EXPENSE LIMITATION AND REIMBURSEMENT AGREEMENT (the “Agreement”) is effective as of close of business August 1, 2023, by and between the J.P. Morgan Access Multi-Strategy Fund, L.L.C., a Delaware limited liability company; J.P. Morgan Access Multi-Strategy Fund II, a Delaware statutory trust (each, a “Fund”, and collectively, the “Funds”), and J.P. Morgan Private Investments Inc., a Delaware corporation (“JPMPI”).
