(the “Lender”), a company existing under the laws of Spain, with tax identification number A95573283 and whose registered office is at Plaza Euskadi 5, 48009 Bilbao (Spain), properly represented by Ms. María de la Fuente Lecanda and Mr. Javier Pastor Zuazaga, by virtue of power of attorney granted by Mr Ramón Múgica Alcorta, Notary Public of Bilbao on 5th day of April, 2022, under 401 of his protocol, which they expressly declare to be in full force and effect and without any modification thereto;
