This THIRD AMENDED AND RESTATED CREDIT AGREEMENT dated as of February 18, 2022, is among: PERMIAN RESOURCES OPERATING, LLC, a limited liability company duly formed and existing under the laws of the State of Delaware and formerly known as Centennial Resource Production, LLC (the “Borrower”), as the borrower; the Parent (defined below) from time to time party hereto, as a parent guarantor; each of the Lenders from time to time party hereto; and JPMORGAN CHASE BANK, N.A. (in its individual capacity, “JPMorgan”), as administrative agent for the Lenders (in such capacity, together with its successors in such capacity, the “Administrative Agent”).
