THIS TERM LOAN AGREEMENT (this “Agreement”) dated as of January 31, 2023 by and among PIEDMONT OPERATING PARTNERSHIP, LP, a limited partnership formed under the laws of the State of Delaware (the “Borrower”), PIEDMONT OFFICE REALTY TRUST, INC., a corporation formed under the laws of the State of Maryland (the “Parent”), the Joint Lead Arrangers and Joint Bookrunners listed on the cover page to this Agreement (each a “Co-Lead Arranger” and “Bookrunner”), BANK OF AMERICA, N.A., as administrative agent (the “Agent”), the Syndication Agents listed on the cover page to this Agreement (each a “Syndication Agent”), and each of the financial institutions initially a signatory hereto together with their assignees pursuant to Section 12.5(b).
