REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of December 1, 2022, by and among U.S. Bancorp, a corporation organized under the laws of the state of Delaware (the “Company”), and MUFG Bank, Ltd., a joint stock company (kabushiki kaisha) organized under the laws of Japan (the “Investor”).
