THIS SUBSCRIPTION AGENT AGREEMENT (the “Agreement”) is entered into as of this 20th day of September 2022 (the “Effective Date”) by and among BlackRock Corporate High Yield Fund, Inc., a Maryland corporation (the “Company”), BlackRock Advisors, LLC, a Delaware limited liability company (the “Advisor”), and Computershare Inc. (“Computershare”) a Delaware corporation and its fully owned subsidiary Computershare Trust Company, N.A., a national banking association (the “Trust Company” and together with Computershare, the “Agent”).

This Letter of Agreement, including the Appendix attached hereto (collectively, this “Agreement”), sets forth the terms and conditions of the engagement of Georgeson LLC (“Georgeson”) by BlackRock Corporate High Yield Fund, Inc. (the “Fund”) and BlackRock Advisors, LLC, a Delaware limited liability company (the “Advisor”), to act as Information Agent in connection with the Fund’s proposed transferable rights offering scheduled to expire on October 13, 2022 (the “Offering”). The term of this Agreement shall be the term of the Offering, including any extensions thereof.
