Amended and restated Investment Advisory Contract (this “Contract”) made as of May , 2021, between Puerto Rico Residents Tax-Free Fund III, Inc. (the “Fund”), a Puerto Rico corporation and a management investment company currently registering under the Investment Company Act of 1940, as amended (the “1940 Act”), and UBS Asset Managers of Puerto Rico, a division of UBS Trust Company of Puerto Rico (the “Adviser”), the Fund’s investment adviser, currently registering under the Investment Advisers Act of 1940, as amended (the “Advisers Act”).

CUSTODY AGREEMENT, made as of day of May, 2021 by and between Puerto Rico Residents Tax-Free Fund III, Inc., a corporation organized under the laws of the Commonwealth of Puerto Rico and an investment company registered under the Puerto Rico Investment Companies Act (the “Fund”), and Banco Popular de Puerto Rico, a Puerto Rico bank organized and having its principal office and place of business in Puerto Rico (“BPPR”). Capitalized terms not otherwise defined herein will have the same meaning as in the Fund’s Prospectus dated May, 2021.

Puerto Rico Residents Tax-Free Fund III, Inc. (the “Fund”), a corporation organized under the laws of the Commonwealth of Puerto Rico (“Puerto Rico”) and a non-diversified investment company registered under the Investment Company Act of 1940, as amended, (the “ICA”), proposes to issue and sell to you (“UBSPR” or the “Underwriter”), $[●] in aggregate principal amount of the Fund’s Notes having a maturity date of up to [●] days after the date of issuance thereof, or be payable on demand by the Fund on a date not later than [●] days after the issuance thereof (such series referred to herein as the “Short-Term Notes”), and $[●] in aggregate principal amount of the Fund’s Notes having a maturity date of over 270 days after the date of issuance thereof (such series referred to herein as the “Medium-Term Notes” and collectively with the Short-Term Notes, the “Notes”).
