THIS AGREEMENT is made this 12th day of July, 2000, between JANUS ASPEN SERIES, an open-end management investment company organized as a Delaware business trust (the “Trust”), and MONY LIFE INSURANCE COMPANY OF AMERICA, a life insurance company organized under the laws of the State of Arizona (the “Company”), on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A, as may be amended from time to time (the “Accounts”).

Equitable Financial Life Insurance Company of America, formerly known as MONY Life Insurance Company of America (the “Company”), an Arizona stock life insurance company, PIMCO Variable Insurance Trust (the “Fund”), a Delaware business trust and PIMCO Investments LLC (the “Underwriter”), a Delaware limited liability company, entered into a certain participation agreement dated December 1, 2001 (the “Participation Agreement”). This Amendment (the “Amendment”) to the Participation Agreement is entered into as of May 1, 2021, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), the Fund and the Underwriter (collectively, the “Parties”). All capitalized terms used herein and not otherwise defined shall have the meaning ascribed to such terms in the Agreement (defined above).

This Amendment (the “Amendment”) to the Participation Agreement is entered into as of February 10, 2021, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), the Trust (collectively, the “Parties”).

The Company, Fund and Underwriter are collectively referred to as “Parties” and individually as a “Party”.
